Terms of Service

These Terms of Service ("Terms") govern your use of Baseboard ("we", "us", or "our"), the e-commerce analytics platform available at baseboard.cloud. By creating an account or using our service, you agree to be bound by these Terms. If you do not agree, please do not use Baseboard.
1. Acceptance of Terms
By accessing or using Baseboard, you confirm that you are at least 18 years old, have the legal authority to enter into this agreement on behalf of yourself or your organisation, and accept these Terms in full. We may update these Terms from time to time. Continued use of the service after changes are posted constitutes acceptance of the revised Terms. We will notify you of material changes by email or via an in-app notice.
2. Account Terms
To use Baseboard, you must register for an account. You are responsible for:
- Providing accurate and complete information during registration.
- Keeping your login credentials secure and confidential.
- All activity that occurs under your account, whether or not authorised by you.
- Notifying us immediately at support@baseboard.cloud if you suspect unauthorised access to your account.
You may not share your account with others or create accounts using automated means. Each account is for use by a single individual or legal entity.
3. Acceptable Use
You agree to use Baseboard only for lawful purposes. You may not:
- Use the service to violate any applicable local, national, or international law or regulation.
- Attempt to reverse-engineer, decompile, or extract the source code of Baseboard.
- Interfere with or disrupt the integrity or performance of the service or its infrastructure.
- Use the service to transmit harmful, offensive, or illegal content.
- Resell, sublicense, or otherwise make the service available to third parties without our prior written consent.
4. Data Usage
Baseboard connects to third-party platforms (such as Shopify, Google Analytics, Google Ads, Klaviyo, Meta Ads, and TikTok Ads) using credentials and OAuth authorisations you provide. By connecting these integrations, you grant us permission to retrieve and process data from those services on your behalf solely to operate your dashboard.
We request only the minimum access required to provide the service (read-only where possible). You own your data at all times. We do not sell, rent, or share your business data with third parties for advertising or any unrelated purpose. See our Privacy Policy for full details on how we handle your data.
5. Third-Party Integrations
Baseboard relies on third-party services to function, including but not limited to Supabase (authentication and database), Nango (integration management), Sentry (error monitoring), and Umami (analytics). Your use of Baseboard is also subject to the terms and policies of any third-party platforms you connect.
We are not responsible for the availability, accuracy, or conduct of third-party services. If a third-party service changes its API or terms in a way that affects Baseboard, we will make reasonable efforts to restore functionality but cannot guarantee uninterrupted service.
6. Subscription and Payment
Baseboard is a paid subscription service. Pricing, billing cycles, and available plans are described on our Pricing page. Subscriptions are billed in advance on a monthly basis. All fees are exclusive of applicable taxes, which will be added where required by law.
If a payment fails, we may suspend access to your account until payment is resolved. You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period; no partial refunds are issued for unused time unless required by applicable law.
7. Intellectual Property
All intellectual property rights in Baseboard — including the software, design, trademarks, and content — are owned by or licensed to us. These Terms do not grant you any rights to our intellectual property beyond the limited licence to use the service as described herein.
You retain full ownership of your data and any content you upload or connect to Baseboard. By using the service, you grant us a limited, non-exclusive licence to process your data solely for the purpose of providing and improving the service.
8. Confidentiality
We treat your business data as confidential. Our team members access customer data only when necessary for support, debugging, or service improvement, and are bound by confidentiality obligations. We will not disclose your data to third parties except as described in our Privacy Policy or as required by law.
9. Disclaimers and Limitation of Liability
Baseboard is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy. We do not guarantee that the service will be error-free, uninterrupted, secure, or that any defects will be corrected.
Analytics data is retrieved from third-party sources and may be subject to delays, errors, or discrepancies. We do not warrant the accuracy, completeness, or timeliness of any data retrieved from third-party integrations. You acknowledge that such data may contain errors and that Baseboard shall not be liable for any inaccuracies in third-party data.
Baseboard provides data for informational purposes only. You are solely responsible for any business, financial, or operational decisions made based on data displayed in the service. We shall not be liable for any losses or damages resulting from your reliance on analytics data or any actions taken based on such data.
To the maximum extent permitted by applicable law, our total liability to you for any claim arising from or related to the service shall not exceed the amount you paid us in the three months preceding the claim. In no event shall we be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities, regardless of the cause of action or theory of liability.
10. Indemnification
You agree to indemnify, defend, and hold harmless Baseboard, its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:
- Your use of the service or any data obtained through it.
- Your violation of these Terms or any applicable law or regulation.
- Your violation of any rights of a third party, including any intellectual property or privacy rights.
- Any business decisions made based on data provided through the service.
- Any content, data, or information you transmit or make available through the service.
This indemnification obligation shall survive the termination of your account and these Terms.
11. Force Majeure
We shall not be liable for any failure or delay in performing our obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to: natural disasters, acts of government, internet or telecommunications failures, power outages, cyberattacks, pandemics, changes in applicable law, or disruptions to third-party services on which Baseboard depends. During such events, our obligations under these Terms shall be suspended for the duration of the force majeure event.
12. Termination
You may terminate your account at any time by cancelling your subscription and contacting us at support@baseboard.cloud to request account deletion.
We reserve the right to suspend or terminate your access if you violate these Terms, fail to pay subscription fees, or if we have reason to believe your use of the service poses a risk to us or other users. Where possible, we will provide reasonable notice before terminating your account.
Upon termination, your right to use the service ceases immediately. We will delete your data in accordance with our data retention policy described in the Privacy Policy.
13. Governing Law and Disputes
These Terms are governed by and construed in accordance with the laws of the Netherlands. Any disputes arising from or relating to these Terms or the use of Baseboard shall be subject to the exclusive jurisdiction of the competent courts in the Netherlands.
If you are a consumer located in the European Union, you also have the right to access the EU Online Dispute Resolution platform at ec.europa.eu/consumers/odr.
14. Changes to These Terms
We may revise these Terms at any time. When we make material changes, we will update the "Last updated" date at the top of this page and notify you by email at least 14 days in advance. Your continued use of the service after the effective date of the revised Terms constitutes your acceptance.
15. General Provisions
Severability
If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.
Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between you and Baseboard regarding your use of the service, and supersede all prior or contemporaneous agreements, representations, warranties, and understandings, whether written, oral, or implied.
Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by Baseboard.
Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign or transfer our rights and obligations under these Terms without restriction, including in connection with a merger, acquisition, sale of assets, or by operation of law.
